This Business Non-Disclosure Agreement (“Agreement”) is entered into by and between Maxwell Polaris (“Disclosing Party” or “Brokerage”) and the undersigned individual or entity (“Receiving Party” or “You”), collectively referred to as the “Parties.”

By submitting this form, you explicitly agree to the following legally binding terms:

1. Confidential Information

You acknowledge that you may receive highly confidential, commercially sensitive, and proprietary business information, including but not limited to financials, lease agreements, sales figures, supplier contacts, business processes, and any other materials not publicly available (“Confidential Information”).

2. Use Restrictions

You agree not to disclose, reproduce, share, discuss, publish, distribute, or exploit any Confidential Information for any purpose other than evaluating the potential purchase of the business listed by Maxwell Polaris. You may not contact the business owner, staff, landlord, or suppliers directly or indirectly under any circumstance without written consent from Maxwell Polaris.

Any breach of this clause will trigger immediate legal action, including but not limited to injunctive relief, damages, and permanent disqualification from future business opportunities with our firm.

3. No Circumvention

You agree not to circumvent Maxwell Polaris in any manner. This includes, but is not limited to, attempting to negotiate directly with the seller, submitting offers outside of the brokerage, or using the disclosed information to create competitive ventures.

4. Ownership & Return

All documents and data remain the sole property of Maxwell Polaris and/or the business seller. You agree to destroy or return all materials upon request. No rights, licenses, or ownership interests are granted under this Agreement.

5. Duration

This Agreement shall remain in effect for five (5) years from the date of submission, regardless of whether a transaction occurs.

6. Enforcement & Remedies

You acknowledge that breach of this Agreement will cause irreparable harm, and that Maxwell Polaris is entitled to immediate legal action, including restraining orders, civil damages, legal fees, and court costs. This Agreement shall be governed by the laws of the Province of Alberta.
